Terms of Service

1. Acceptance of Terms

By accessing or using Moodap (the "Platform"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

Moodap is operated by Moodap Inc. ("we," "us," or "our"). These Terms constitute a legally binding agreement between you and Moodap Inc.

2. Eligibility

You must be at least 13 years old to use Moodap. By using the Platform, you represent and warrant that you meet this age requirement.

If you are using Moodap on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. User Accounts

You may be required to create an account to access certain features of Moodap. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Use of the Platform

You agree to use Moodap only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Post false, misleading, or fraudulent content
• Harass, abuse, or harm other users
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Use automated systems (bots, scrapers) without our written permission
• Interfere with or disrupt the Platform's functionality

5. User Content

You retain ownership of any content you submit to Moodap, including reviews, ratings, photos, and comments ("User Content"). By submitting User Content, you grant Moodap a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your User Content on the Platform and in our marketing materials.

You represent and warrant that:

• You own or have the necessary rights to submit the User Content
• Your User Content does not violate any laws or third-party rights
• Your User Content is truthful and not misleading

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, in our sole discretion.

6. Intellectual Property

The Platform and its original content, features, and functionality are owned by Moodap Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Moodap name, logo, and all related trademarks are the property of Moodap Inc. You may not use our trademarks without our prior written consent.

7. Third-Party Links and Services

Moodap may contain links to third-party websites, services, or venues that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Moodap shall not be liable for any damage or loss caused by your use of any third-party websites or services.

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Moodap does not guarantee that:

• The Platform will be uninterrupted, secure, or error-free
• The results or information obtained from the Platform will be accurate or reliable
• Any venue recommendations will meet your expectations
• User Content or venue information is accurate, current, or complete

You use the Platform at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Moodap INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

IN NO EVENT SHALL Moodap'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO Moodap IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Moodap Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

11. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in New York County, New York. You consent to the personal jurisdiction of these courts.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice through the Platform or via email.

Your continued use of the Platform after any changes constitute your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Platform.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Moodap Inc. concerning the Platform.
